1. Acceptance of Terms
By creating an account, accessing, or using ErgodicLabs (“we,” “us,” or “our”) and the Edge Matrix application (the “Service”) at ergodiclabs.co, you (“you,” “user”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms constitute a binding agreement between you and ErgodicLabs.
2. Description of Service
Edge Matrix is a web-based statistical analysis tool for evaluating trading strategy backtests. The Service accepts backtest reports (MT4, MT5, cTrader, CSV) and produces validation outputs including statistical tests, Monte Carlo simulations, comparative analysis, and exportable reports.
Edge Matrix is a statistical analysis tool. It does not provide investment, financial, legal, or tax advice. It does not predict future performance, recommend strategies, or guarantee any trading outcome. See Section 11 (Risk Disclosure).
3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
4. Account Registration
To use the Service, you must create an account through our authentication provider (Clerk). You agree to:
– Provide accurate and complete registration information
– Keep your password and credentials secure
– Notify us immediately of any unauthorized use of your account
– Be responsible for all activity that occurs under your account
You may not share your account, allow others to access it, or transfer it to another person. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Subscriptions, Trials, and Billing
Plans: Edge Matrix is offered on multiple subscription tiers (Solo Trader, Pro Monthly, Pro Annual) and a one-time Lifetime purchase. Features available at each tier are described on our pricing page and may change.
Free Trial: All paid subscriptions include a 7-day free trial. A valid payment method is required to start the trial, but no charge is made until day 8. If you do not cancel before the end of the trial, your card will be charged for the first billing period at the price disclosed at signup.
Recurring Billing: Subscriptions automatically renew at the end of each billing period (monthly or annually) until cancelled. By subscribing, you authorize Lemon Squeezy (our payment processor and Merchant of Record) to charge your payment method for each renewal.
Price Changes: We may change subscription prices. We will provide reasonable advance notice of any price increase. Continued use of the Service after the effective date constitutes acceptance of the new price. If you do not agree, you may cancel before the change takes effect.
Cancellation: You may cancel your subscription at any time through your account dashboard or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; you retain access through that date. Lifetime purchases are not subject to cancellation.
Taxes: Subscription prices may exclude applicable taxes (VAT, sales tax, GST). Lemon Squeezy handles tax calculation, collection, and remittance based on your billing location.
Refunds: All sales are final after a successful charge, except for the narrow exceptions described in our Refund Policy. The 7-day free trial provides full evaluation access at zero cost; if the Service is not right for you, cancel before day 8 and you will not be charged. By starting a trial or paid subscription, you acknowledge and accept this refund policy.
6. Acceptable Use
You agree not to:
– Use the Service for any unlawful purpose or in violation of any applicable law
– Upload content that infringes intellectual property rights, contains malware, or otherwise harms the Service or other users
– Attempt to access another user’s account, data, or analysis results
– Reverse-engineer, decompile, or disassemble any part of the Service
– Scrape, crawl, or extract data from the Service through automated means without our written consent
– Resell, sublicense, or redistribute the Service or its outputs as a competing product
– Use the Service to develop a competing product
– Interfere with the Service’s operation, security, or other users’ use
– Bypass any rate limits, tier restrictions, or access controls
– Submit fraudulent payment information or initiate chargebacks for legitimate purchases
We reserve the right to suspend or terminate accounts that violate these provisions.
7. Your Content
Backtest Files: You retain all rights to backtest reports and other content you upload to the Service (“Your Content”). You grant us a limited, non-exclusive license to process Your Content solely to provide the Service to you. We do not claim ownership of Your Content and do not use it for any purpose other than providing the Service.
Privacy: Our processing of Your Content is governed by our Privacy Policy.
Responsibility: You are solely responsible for the accuracy, legality, and source of Your Content. You represent that you have the right to upload and analyze any content you submit.
8. Intellectual Property
The Service, including its software, design, methodology, statistical tests, scoring algorithms, reports, branding, and documentation, is owned by ErgodicLabs and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business use during your active subscription.
You may use, share, and reference reports generated by the Service for your own purposes. You may not republish, resell, or systematically redistribute Service outputs as a competing product.
The “ErgodicLabs” and “Edge Matrix” names and logos are trademarks of ErgodicLabs.
9. Service Availability and Modifications
We strive to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. We may perform maintenance with or without notice.
We may add, remove, or change features. Material changes that significantly reduce functionality on a paid tier will be communicated in advance, and you may cancel without penalty if you do not accept the change.
In the event the Service is discontinued, we will provide reasonable notice and, where applicable, prorated refunds for unused subscription time.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING:
– MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
– WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES
– WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY ANALYSIS, RESULT, REPORT, OR OUTPUT GENERATED BY THE SERVICE
You acknowledge that statistical analysis is inherently probabilistic and any output of the Service is one input among many in your decision-making.
11. Risk Disclosure
Edge Matrix is a statistical analysis tool. It evaluates historical backtest data using quantitative methods but does not predict future performance or provide investment advice. Edge Matrix does not recommend whether to deploy, modify, or discontinue any trading strategy.
All trading involves substantial risk, including the risk of total loss of capital. Past performance, whether analyzed or validated by the Service, is not indicative of future results. The high degree of leverage common in foreign exchange and CFD trading can work against you as well as for you.
You are solely responsible for your trading and investment decisions. You should consult with a qualified financial advisor before making any trading decision.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
– WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE
– OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD 100, WHICHEVER IS GREATER
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify and hold harmless ErgodicLabs and its operators from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of:
– Your use or misuse of the Service
– Your violation of these Terms
– Your violation of any third-party right, including intellectual property or privacy rights
– Trading or investment decisions you make based on outputs of the Service
14. Termination
You may terminate your account at any time by contacting [email protected] or through your account settings.
We may suspend or terminate your account at any time, with or without notice, if you violate these Terms, engage in fraudulent or abusive behavior, fail to pay, or for any other reason at our reasonable discretion. Account termination for cause does not entitle you to a refund.
Upon termination:
– Your right to use the Service ends immediately
– We may delete your account data after a reasonable retention period (subject to legal obligations)
– Any outstanding fees become due
– Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Hungary, without regard to conflict of laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved in the courts of Hungary, and you consent to the personal jurisdiction of those courts.
If you are a consumer in the European Union or United Kingdom, this clause does not deprive you of any rights to bring proceedings in your country of residence under mandatory consumer protection law.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email to active account holders and posted on this page with an updated revision date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, internet outages, or actions of third-party providers.
